China (for the purpose of these Terms of Use, excluding Hong Kong, Macau and Taiwan) or international law; or (c) includes any bugs, viruses, worms, trap doors, Trojan horses or other harmful code or properties.

Your Account

If you use any PGFinds Service, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. If you are under 18, you may use the PGFinds Services only with involvement of a parent or guardian. PGFinds reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

Your Information

You agree to provide true, accurate, complete and valid personal information when registering an account and using your account of the PGFinds Services, and timely update such information. Otherwise you must bare corresponding responsibility and consequences by yourself, and PGFinds reserves the right to stop providing PGFinds Service to you.

All Submissions shall automatically become the sole and exclusive property of PGFinds and shall not be returned to you and you agree not to raise any dispute in connection with any use of the entry by PGFinds in the future.

You warrant that your Submissions, in whole or in part, are clear and free of any IP right infringement, disputes or third party claims. PGFinds assumes no liability for any misuse of copyright or any other rights of third parties by you. You undertake to defense for and indemnify the Sponsor against any losses caused due to the use of the entries for any purposes.

In addition to the rights applicable to any Submission, when you post comments or reviews to the PGFinds Services, you also grant PGFinds the right to use the name that you submit with any review, comment, or other Content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the reviews, comments, and other Content that you post in the PGFinds Services and that use of your reviews, comments, or other Content by PGFinds will not infringe upon or violate the rights of any third party. You shall not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead PGFinds or third parties as to the origin of any Submissions or Content. PGFinds may, but shall not be obligated to remove or edit any Submissions (including comments or reviews) for any reason.

All content included in or made available through any PGFinds Service, such as text, graphics, logos, button icons, images, audio and video clips, and data compilations, is the property of PGFinds or its content suppliers and protected by P.R.China and international copyright laws. The compilation of all content included in or made available through any PGFinds Service is the exclusive property of PGFinds and protected by P.R.China and international copyright laws.

Trademarks

PGFinds, PGFinds.com, and other PGFinds graphics, logos, page headers, button icons, scripts, and service names included in or made available through any PGFinds Service are trademarks or trade dress of PGFinds in the U.S. and other countries. PGFinds’s trademarks and trade dress may not be used in connection with any product or service that is not PGFinds’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits PGFinds. All other trademarks not owned by PGFinds that appear in any PGFinds Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by PGFinds.

IP rights Complaints

PGFinds respects the intellectual property of others. It is the policy of PGFinds to take appropriate action where necessary to uphold and recognize all relevant P.R.China and International laws in connection with material that is claimed to be infringing any trademark, copyright, patent and all or any other Intellectual Property laws. Information required

• An electronic or physical signature of the person authorized to act on behalf of the owner of an exclusive that is allegedly infringed;
• A description of the allegedly infringing work or material;

PGFinds attempts to be as accurate as possible. If a product offered by PGFinds itself is not as described, your sole remedy is to return it in unused condition.

Orders

When making an order, please carefully confirm the information such as the name, price, quantity, model, standard and size of the product you propose to purchase and the name, address and phone number of the consignee. Due to market changes and various uncontrollable factors despite reasonable commercial efforts, PGFinds does not guarantee all the products you propose to purchase of goods are in stock. If the products you propose to purchase are out of stock, you have the right to cancel the order.

Making a valid order in PGFinds Services only constitutes the receipt of your order by our system. Only when PGFinds make the shipment of the product you purchase, the purchase contract between you and PGFinds with respect to the product PGFinds has shipped establishes.

Pricing in Different Currencies

Pricing of products sold by PGFinds Services is based upon figures calculated in U.S. Dollars (US$). Prices displayed in other currencies are converted from U.S. Dollars according to the most up to date conversion rates. Due to fluctuating currency values, prices displayed in non-U.S. denominations of currency in the PGFinds Services, other than on the individual product page, may not be the most current. Areas of the Services where non-U.S. denominations of currency might be inaccurate include, but are not limited to, promotional banners, promotional pages, and information on product category pages. The price displayed on an individual product page, regardless of currency denomination, is the current price you are liable to pay to PGFinds, excluding shipping.

Delivery

PGFinds does not assume any responsibility of late delivery if the order is delayed or undeliverable due to the below reasons:

Risk of Loss

All products purchased from PGFinds Services are made pursuant to a shipment contract. This means that the risk of loss and title for such products pass to you upon our delivery to the carrier.

Returns, Refund and Title

PGFinds does not take title to returned products until the product arrives at our designated fulfillment center. At our discretion, a refund may be issued without requiring a return. Disputes

The execution, effectiveness, construction, performance, amendment and termination of these Terms and the resolution of disputes hereunder shall be governed by the laws of P.R.China. Any dispute or claim relating in any way to your use of any PGFinds Service, or to any products or services navigated by PGFinds or through the Websites will be resolved by binding arbitration, rather than in court. Any Party may submit the relevant dispute to the Shanghai International Arbitration Center for arbitration, in accordance with its then-effective arbitration rules. The arbitration shall be conducted in Shanghai, and the language used during arbitration shall be English. The arbitration ruling shall be final and binding on both Parties.

Remedies

You agree that PGFinds's remedy at law for any actual or threatened breach of this Terms of Use would be inadequate and that PGFinds shall be entitled to specific performance or injunctive relief, or both, in addition to any damages that PGFinds may be legally entitled to recover, together with reasonable expenses of any form of dispute resolution, including, without limitation, attorneys' fees.

No right or remedy of PGFinds shall be exclusive of any other, whether at law or in equity, including, without limitation, damages injunctive relief, attorneys' fees and expenses.

No instance of waiver by PGFinds of its rights or remedies under these terms and conditions shall imply any obligation to grant any similar, future or other waiver.
